5. Speaker Agreement

The American Society of Pediatric Hematology/Oncology (“ASPHO”) is pleased that you have agreed to present a session (“Presentation”) at the 2021 ASPHO Review Course (“Course”). This Speaker Agreement (“Agreement”) outlines our understanding with respect to your agreement to participate in the Course and deliver your Presentation. By signing in the space indicated below, you agree as follows:

ASPHO is relying on my participation as a speaker at the Course. I agree that I will make every effort to participate in the Course, deliver my Presentation on the date and time specified by ASPHO in writing, pre-record my presentation if requested by ASPHO, and submit all requested paperwork in accordance with ASPHO’s guidelines and schedules.
I will prepare original Slides and/or self-assessment questions in connection with my Presentation (collectively, “Materials”) in accordance with ASPHO’s requirements. I hereby agree to provide ASPHO copies of my Presentation and all Materials in advance of the Course, according to the deadlines outlined by ASPHO. ASPHO reserves the right to approve all such materials.
If I am unable (for any reason) to deliver my Presentation, pre-recorded and/or live at the scheduled date and time, I will provide written notice to ASPHO as soon as reasonably practicable. I understand that I will be responsible for all third-party out-of-pocket expenses incurred by ASPHO with respect to my cancellation. Upon ASPHO’s request, I will provide a substitute speaker acceptable to ASPHO in its sole discretion. ASPHO reserves the right to cancel my Presentation and/or the Course upon written notice to me and I understand that ASPHO will not be responsible or liable for any expenses incurred by me in connection with such cancellation.
In exchange for the opportunity to present my Presentation at the Course, and for other good and valuable consideration the receipt and sufficiency of which is hereby acknowledged, I hereby grant ASPHO (including its agents, vendors and contractors) a non-exclusive, unrestricted, irrevocable, royalty-free, license to record, photograph, film, display, broadcast, distribute (and have distributed), publish, excerpt, edit, reproduce or reprint in any form and in any language (including in any medium, both now known or later developed), including, without limitation, in written, audio, audiovisual, digital or electronic (including, but not limited, to Web-based) format, the Presentation (including, without limitation, me and my likeness), any audio or video recordings or transcripts of the Presentation and any Materials, including, without limitation, the right to distribute, sell and sub-license the Presentation and Materials individually or as part of a compilation and to freely modify and make derivative works therefrom. This license includes without limitation the right (i) to adapt the Presentation and Materials for use in conjunction with computer systems and programs, CD-ROMs, DVDs, audio playback systems, other electronic content (including content available via the world-wide web), and content in machine-readable form and for incorporation in retrieval systems; and (ii) to freely modify and make derivative works based on the Presentation and Materials. I acknowledge that ASPHO will not pay or owe me any royalties or other compensation for the licenses or other rights granted in this Speaker Agreement.
I grant ASPHO and its permitted successors and assigns, and those acting with ASPHO’s authority and permission, the unrestricted right and permission to use my name, likeness and biographical material in connection with the Presentation, the Materials and any derivative works thereof, in any and all manner and media throughout the world in perpetuity.
I hereby represent and warrant that:
1. The content of the Presentation and Materials are accurate to the best of my knowledge;
2. The Presentation and Materials are my own original work (with the exception of excerpts of copyrighted material included with the written permission of the copyright owner) and will not infringe on any personal or property rights of any other person or organization
3. If the Presentation or Materials contain excerpts from works owned by any third-party, I have obtained all rights, authorizations and permissions from the copyright owner to license the rights granted herein and have properly credited the sources in the Presentation and/or Materials;
4. The Presentation and Materials will not identify by name, or otherwise suggest the identity of or present a recognizable likeness of, any patient or other individual, or, if they do, I will obtain all necessary consents from patients and other individuals for the further use, distribution and publication of such materials;
5. The Presentation and Materials will be educational in nature and will not promote any product or service;
6. The Presentation and Materials will not contain any false or misleading statements regarding any products or services or include materials that are anticompetitive, slanderous, libelous, disparaging or otherwise illegal, offensive or inappropriate; and
7. I am authorized to make the foregoing representations and warranties.
I understand that my presentation will be offered as a Continuing Medical Education (“CME”) activity and hereby agree to the following guidelines relative to content validity:
1. All recommendations, treatment or manners of practicing medicine discussed in a CME activity must be within the definition of CME and must not be known (i) to have risks or dangers that outweigh the benefits or (ii) to be ineffective in the treatment of patients;
2. All recommendations involving clinical medicine in a CME activity must be based on evidence that is accepted within the profession of medicine as adequate justification for their indications and contraindications in the care of patients; and
3. All scientific research referred to, reported or used in a CME activity in support or justification of a patient care recommendation must conform to the generally accepted standards of experimental design, data collection and analysis.
If I discuss therapeutic options during the Presentation, I will use only the generic names or the trade names of several companies to the maximum extent possible. The Presentation and Materials must promote improvements or quality in healthcare and not a specific proprietary business interest of a commercial interest.
I may not accept any honoraria, additional payments, reimbursements, or other benefits for this CME activity beyond that which has been agreed on directly with ASPHO, or otherwise have a financial interest in a commercial entity or medical education company in exchange for my Presentation.
I hereby indemnify and hold harmless ASPHO, its officers, directors, members, employees and agents from and against any and all claims, expenses (including reasonable attorneys’ fees) and liabilities whatsoever arising, directly or indirectly, out of a breach of any of the representations and warranties set forth in this Agreement and my actions or inaction during, or my participation in, the Course. I further waive any and all rights I may have against ASPHO, its officers, directors, members, employees and agents and release and discharge them from any claim relating to the Course or the manner in which it is conducted.
I represent that I have separately disclosed to ASPHO in writing any financial interests, sources of income, ownership interests, or other commercial support related, directly or indirectly, to the subject of my Presentation.
